Before starting a business startup process, you must decide which organizational form you will use in your business. To easily compare the options, consider the characteristics of individual business forms.

In the process of starting a business, you will need to provide the following information in addition to the business form, so it is recommended that you prepare them in advance.

  1. Company name

Each company must have its own name or company name. It must be a full name, but you can also register the abbreviated name.

The company name (firm) must be clearly distinguished from the names of other companies. Before the founding process, check the name (company) in the AJPES Business Register.
For a sole proprietor (s.p.), the full name or firm must include the name and surname of the entrepreneur, the mark indicating the activity, and the designation p. It can also contain additional ingredients (eg fantasy name). The abbreviated name or abbreviated company must include at least the name and surname of the entrepreneur and the designation p.p.

The rules regarding the company name are governed by the second chapter of the Companies Act (ZGD-1), which defines the company as the name of the company with which the company operates.

  1. Date of registration (establishment)

If you are establishing a business, you can propose a date when you want to be registered in the Business Register of Slovenia (PRS). You can suggest an enrollment date for one day in advance and no more than three months in advance.

When creating a company, you can not propose an entry date.

  1. Business address of the company

For a business address, select the place, street, and house number where you will perform the activity, or where you will mainly conduct business. It is possible to determine for business addresses:

the place where you will engage in or
the place where you will mainly run your business or business
the place where the management of the company operates.
If you are not the owner of the facility on the business address you wish to register, you must attach a signed declaration of the owner of the facility to the application for registration, allowing you to do business at this address.

At the business address, an entrepreneur or company must receive official postal items.

Also, make sure that the object that you will be given as a business address at the time of your establishment is all permissions to be able to perform your activity in it.

  1. Contact details

In the Business Register of Slovenia (PRS), you can also enter contact information, such as: telephone, fax, e-mail address, web address. The data is published on the AJPES website, but you can mark that you do not want to post.

  1. List of company representatives

The founders of all forms of business (other than sole proprietors) must identify at least one manager (director) in their company. Managers may be employed on the basis of a concluded employment contract or perform a management role on the basis of a civil law contract.

A sole proprietor (s.P.) may appoint a representative or procurator, but not necessarily. If you do not appoint an agent, it means that you as a sole trader are also an agent.

If you want to register as a sole proprietor (s.p.) in the Business Register of Slovenia by a procurator or representative for death, you must attach his consent to the application for registration. The same is true for registering a representative at a branch of a sole proprietor.

Without the authorization of a sole proprietor, the procurator may perform all procedures related to the entry of changes in the data in the Business Register of Slovenia, except for the deletion from the Business Register of Slovenia. Prokura does not cease the death of a sole proprietor. In the case of the death of a sole proprietor, a death representative shall be empowered to perform all legal acts that fall under regular business.

  1. Activities of the company

When you set up a company (d.o.o., d.n.o., d.d., etc.), you choose your main activity (that is, the one that is expected to generate the bulk of revenue) and other activities that you also intend to perform. The number of activities you choose will not be limited. Activities can be added easily and free of charge later when the company is already established.

You can select the activities from the Standard Classification of Activities (SKD).
All listed activities are entered in the founding act. In the Business Register of Slovenia (PRS), only those activities that will be your main part of revenue will be entered.

If you are establishing a business, you select from the Standard Classification of Activities (SKD) only those activities that you will actually perform or will be your main part of your income. The selected activities are then entered in the Business Register of Slovenia (PRS).
Some activities are unregulated, which means that you can do them without meeting the special conditions. In the case of other activities, you must comply with the entry conditions – obtain licenses or ensure cooperation with a person who meets the required professional qualifications before starting their pursuit.
